Senior Analyst (Corporate Governance & M&A)

Background:

S&P Global Governance Solutions and M&A team is seeking a highly skilled corporate governance expert for a consultative, advisory, and client-facing role to join its dynamic team.

As a Senior Analyst in the Governance and M&A Solutions team, the candidate will be responsible for providing specialized services on corporate governance topics to clients across APAC regions to support companies on their shareholder meetings, corporate actions, and M&A transactions.

S&P Global’s Strategic Governance and M&A Solutions team assists corporate issuers, predominantly their top management, the boards, investor relations, and corporate secretary teams on public takeovers, general meetings as well as corporate governance-related topics. The candidate understands the impact of corporate governance and M&A factors on investment management and voting and becomes a governance specialist in his/her market(s).

The candidate will also be part of a global team of experts that assists global companies regularly on transactions as well as special situations in the corporate governance field to assess the potential reaction of their institutional shareholder base.

Responsibilities

The position of an Analyst is multifaceted and requires verbal communications, writing, and research skills, analytical abilities, and financial acumen. S&P Global provides hands-on training in an atmosphere that fosters teamwork and emphasizes client services. The candidate is experienced in project management and ideally possesses a comprehensive understanding of financial markets, securities trading, and especially in AGM and EGM advisory processes. S/he is also confident of managing accounts with various proposal types.

The candidate understands the role of proxy advisers and how the trading and voting process through the securities clearing chain works. S/he will become an expert in understanding the governance sensitivities of investors and supports our team on shareholder communications campaigns relating to merger & acquisitions as well as contested shareholder meetings.

The candidate will work closely with other team members within S&P Global’s Investor Relations, Broker Research & Sustainability department in our global offices to lead projects and ensure high-quality services to clients.

The candidate will:

  • Oversee clients' corporate governance research and shareholder communication campaigns in relation to AGMs, EGMs, M&A and other corporate action type events.

  • Write bespoke research reports for clients which will require research and analysis of shareholder meeting agenda items and corporate governance topics.

  • Organize investor roadshows in relation to shareholder meetings and M&A topics.

  • Engage with institutional shareholders prior to AGMs and EGMs to solicit intentions on the meeting agenda or transactional sentiment.

  • Be responsible for covering several key global institutional investors to keep their investor profiles up to date.

  • Contact clients' institutions (including banks, brokers, custodians, clearing houses, research bodies, etc.) and retail shareholders during campaigns.

  • Develop an understanding of proxy voting mechanics and corporate governance standards across multiple regions.

  • Maintain several databases containing contact information and proprietary data.

  • Survey institutional shareholders to collect research data for an annual report that discusses trends in corporate governance and proxy voting.

Qualifications – “What you bring to S&P Global”

  • University degree is required, an advanced degree and/or CFA designation would be preferred

  • Advanced level in Microsoft Office, Excel, PowerPoint, Planner, Access, Citrix

  • At least 2-3 years of work experience in proxy solicitation, corporate governance and M&A

  • Excellent attention to detail and organizational skills

  • Strong analytical and interpretation skills

  • Responsiveness to the needs of our global research team as well as to requests within a reasonable timeframe

  • Familiarity with FactSet, Bloomberg, Reuters, etc. would be preferred

  • Previous experience with Jira Core would be beneficial

  • Fluent Japanese and English language skills are required
